1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Invoscope ("we," "us," or "our"), governing your access to and use of the Invoscope platform available at www.invoscope.com, including all related applications, features, tools, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Invoscope is an AI-powered invoice data extraction platform. The Service enables users to:

  • Upload invoice documents (PDF files and images) for automated data extraction
  • Use Quick Analyze for one-off invoice processing in a standardized format
  • Create custom projects with configurable extraction templates
  • Export extracted data to Excel spreadsheets
  • Manage extraction workflows with batch processing and queue management

The Service utilizes third-party AI technology for document analysis and data extraction. The accuracy of extraction results depends on the quality and clarity of uploaded documents and is provided on an "as-is" basis.

3. Account Registration & Security

3.1 Account Creation

To access the Service, you must create an account by providing your full name, email address, and a password. You may also provide your company name. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Not create multiple accounts for the same individual
  • Not create accounts using false or misleading information

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password for your account
  • Not share your account credentials with third parties
  • Notify us immediately of any unauthorized access or security breach
  • Log out of your account at the end of each session on shared devices

We reserve the right to disable your account if we reasonably believe that your account has been compromised or is being used in violation of these Terms.

4. Subscription Plans & Billing

4.1 Plan Tiers

The Service is offered through the following subscription plans:

We reserve the right to modify plan pricing, features, and limits with 30 days' prior notice to active subscribers.

4.2 Billing & Payment

Paid subscriptions are billed on a recurring monthly or annual basis through our authorized payment processors. By subscribing to a paid plan, you agree to:

  • Authorize recurring charges to your selected payment method
  • Ensure your payment method remains valid and funded
  • Pay all applicable taxes and fees

Payments are processed securely by PCI DSS-compliant payment processors. We do not store your full credit card details on our servers.

4.3 Free Plan

The Free plan provides limited access to the Service at no charge. Free plan users are subject to the usage limits specified above. We reserve the right to modify or discontinue the Free plan at any time.

4.4 Usage Limits

Each subscription plan has defined usage limits (invoices per month, number of projects). Usage counters reset on a monthly basis from your subscription start date. Once you reach your plan's limit, further invoice processing will be restricted until the next billing cycle or until you upgrade your plan.

4.5 Cancellation & Refunds

You may cancel your subscription at any time through your account's Billing page. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You retain access to all features of your plan until the billing period expires
  • After the billing period ends, your account reverts to the Free plan
  • Projects exceeding Free plan limits will be archived (accessible for 90 days, then permanently deleted)

Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us at support@invoscope.com within 14 days of the charge.

4.6 Plan Downgrades

When downgrading to a lower-tier plan, the new plan takes effect at the start of your next billing cycle. If your current usage exceeds the lower plan's limits, excess projects may be archived. You will receive notification before any archival action.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Upload content that is illegal, fraudulent, defamatory, or infringes on third-party rights
  • Upload invoices or documents containing malware, viruses, or malicious code
  • Attempt to gain unauthorized access to other user accounts or our systems
  • Use the Service to process documents unrelated to legitimate business invoicing
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools, bots, or scrapers to access the Service beyond API access provided in your plan
  • Circumvent or attempt to circumvent usage limits or access controls
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service in any manner that could disable, overburden, or impair our servers or infrastructure

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, code, features, branding, logo, and all related intellectual property, is owned by Invoscope and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 Your Content

You retain full ownership of all documents, invoices, and data you upload to the Service ("Your Content"). By uploading content to the Service, you grant us a limited, non-exclusive license to process, analyze, and store Your Content solely for the purpose of providing the Service to you.

We do not claim any ownership rights over Your Content and will not use it for purposes other than delivering the Service, unless required by law.

6.3 AI-Extracted Data

Data extracted from your invoices by our AI processing belongs to you. We do not claim ownership over extraction results. However, we may use anonymized, aggregated metadata (such as extraction success rates and field patterns) to improve the Service.

7. AI Processing & Third-Party Services

7.1 AI-Powered Extraction

The Service uses third-party AI platforms for invoice data extraction. By using the Service, you acknowledge that:

  • Your uploaded documents are transmitted to AI service provider servers for processing
  • AI providers process data according to their respective API terms of service and data processing agreements
  • AI extraction results are provided on an "as-is" basis and may contain errors or inaccuracies
  • You are responsible for verifying the accuracy of extracted data before relying on it for business decisions

7.2 Payment Processors

Payment transactions are processed by third-party payment service providers. These services are governed by their own terms of service and privacy policies. By using their services through our platform:

  • You agree to the applicable payment processor's terms of service and user agreements
  • You acknowledge that payment disputes and chargebacks are handled through the respective payment processor
  • We are not responsible for payment processing errors attributable to third-party providers

7.3 Cloud Infrastructure

The Service is hosted on third-party cloud infrastructure providers. While we implement robust security measures, we are not liable for outages or incidents caused by our infrastructure providers.

8. Service Availability & Disclaimers

8.1 Availability

We strive to maintain high uptime for the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency security patches or critical updates
  • Force majeure events beyond our reasonable control
  • Third-party service outages from our infrastructure, payment, or AI providers

8.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) AI extraction results will be 100% accurate or complete; or (d) any defects in the Service will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INVOSCOPE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Invoscope, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or violation of these Terms
  • Your Content or any data you upload to the Service
  • Your violation of any applicable law, regulation, or third-party right
  • Any dispute between you and a third party related to the Service

11. Termination

11.1 Termination by You

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion. Upon termination, we will delete your account and associated data in accordance with our Privacy Policy and data retention schedule.

11.2 Termination by Us

We may suspend or terminate your access to the Service, without prior notice, if:

  • You breach any provision of these Terms
  • You fail to pay applicable fees when due
  • Your account shows signs of fraudulent or unauthorized activity
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

11.3 Effect of Termination

Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account data after the retention period specified in our Privacy Policy; (c) sections of these Terms that by their nature should survive termination will continue to apply (including Sections 6, 9, 10, and 12).

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Invoscope is incorporated, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by local law.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Invoscope regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.

13.6 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
